Terms and Conditions

Effective Date: February 1, 2026

These Terms & Conditions ("Terms") govern access to and use of the Orin Learning platform, software, applications, and related services (collectively, the "Services") provided by Orin Learning LLC ("Orin," "we," "us," or "our"). These Terms form a binding agreement between Orin and:

  • the institution or organization that enters into a master agreement or order form with Orin (the "Institution"), and

  • each individual user who accesses or uses the Services ("you" or "User").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Structure of the Relationship

1.1 Contracting Parties

  • Institutions contract directly with Orin for access to the Services.

  • Individual Users access the Services either:

    • through an Institution-sponsored account, or

    • as an independent subscriber.

Institutions are responsible for their Users’ compliance with these Terms.

1.2 User Roles

A User account may transition from Institution-sponsored access to individual subscription access, including upon program completion, graduation, or termination of an Institution’s relationship with Orin.

Upon such transition:

  • the User’s continued access to the Services is governed solely by these Terms and Orin’s Privacy Policy applicable to individual subscribers;

  • the Institution no longer controls the User’s account or ongoing use of the Services; and

  • data rights and permissions applicable to future use of the Services may change accordingly.

For clarity, data created during Institution-sponsored use remains subject to the Institution’s rights and obligations under applicable law and any agreement between Orin and the Institution.

2. Nature of the Services and AI Limitations

2.1 Educational Decision-Support Only

The Services provide educational decision-support tools only. Orin does not provide legal, medical, therapeutic, employment, or certification advice.

2.2 No Automated Decisions

The Services do not make automated decisions regarding:

  • grades,

  • certification,

  • accreditation,

  • employment, or

  • professional qualification.

Any outputs, analytics, or feedback generated by Orin’s AI are assistive only. Final decisions remain the responsibility of Users, Institutions, faculty, or accrediting bodies.

2.3 AI Disclaimer

You acknowledge and agree that:

  • AI-generated outputs may be inaccurate, incomplete, or biased;

  • Outputs must be independently reviewed and validated by humans; and

  • AI outputs are not a substitute for professional judgment.

Orin disclaims liability for decisions made in reliance on AI outputs.

3. Recording, Uploads, and Consent

3.1 Recording Controls

The Services do not record audio or video by default. Recording requires affirmative user action.

3.2 Consent Requirement

You represent and warrant that:

  • all participants in any recorded session have provided informed consent; and

  • recordings are obtained and uploaded in compliance with applicable law.

Institutions are responsible for obtaining any required student or participant consent.

3.3 Prohibited Content

You may not upload or process content involving:

  • protected health information or therapy sessions;

  • attorney-client communications;

  • highly sensitive personal data;

  • content obtained unlawfully or without consent.

Orin may remove prohibited content and suspend access.

4. Education-Specific Compliance

4.1 FERPA and School Official Status

Where applicable, Orin acts as a "school official" under FERPA, performing services for Institutions with legitimate educational interests.

4.2 Data Protection Laws

Orin supports compliance with applicable data protection laws, including FERPA, COPPA, GDPR, and UK GDPR, where applicable.

4.3 Data Role

For Institution-sponsored use, Orin acts as a data processor, processing data on behalf of the Institution. Orin may act as a controller for limited data related to its marketing website or independent subscribers.

5. Fees, Billing, and Suspension

5.1 Fees

Fees may include:

  • annual institutional licenses;

  • seat-based fees;

  • usage-based AI fees; and

  • individual subscriptions.

5.2 Renewals and Refunds

Subscriptions renew automatically unless terminated in accordance with the applicable order form. Fees are non-refundable except as expressly agreed in writing.

5.3 Suspension

Orin may suspend or terminate access immediately for:

  • non-payment;

  • violation of these Terms;

  • legal or security risk.

6. Data Ownership and Use

6.1 Ownership

As between Orin and the applicable User or Institution:

  • Users and/or Institutions retain ownership of session recordings, transcripts, and uploaded content ("Customer Content");

  • Orin acquires no ownership rights in Customer Content.

6.2 License to Orin

Users and Institutions grant Orin a limited, non-exclusive license to process Customer Content solely to:

  • provide, operate, and maintain the Services;

  • generate analytics and educational feedback;

  • improve the Services as expressly permitted under these Terms; and

  • comply with legal obligations.

7. Model Training and Improvement

7.1 No Training Without Authorization

Customer Content is not used for model training except as expressly authorized by the applicable authorized party, as set forth below and further described in Orin’s Privacy Policy.

  • For Institution-sponsored Users, authorization may be provided by the contracting Institution through a written agreement, order form, or similar authorization. Individual Users retain the right to opt out at any time in accordance with Section 7.3.


  • For individual subscribers (including Users who transition from Institution-sponsored access), Customer Content may be used for model training by default, subject to the User’s right to opt out at any time in accordance with Section 7.3.

7.2 Scope of Authorized Training

Where such authorization is provided:

  • only de-identified and aggregated data may be used;

  • raw audio or video recordings are never used;

  • training is limited solely to Orin-controlled models;

  • Customer Content is not used to train third-party foundation or general-purpose AI models.

7.3 Individual Opt-Out

Any individual User may opt out of model training at any time by submitting a request to Orin’s support team. Upon receipt of such request, Orin will ensure that the User’s data is not used in any future model training, regardless of institutional settings. Opt-out applies prospectively.

Orin may, in its discretion, provide in-product controls to manage these preferences.

7.4 No Human Review for Training

Orin does not conduct routine human review of Customer Content for training purposes. Human access may occur only where necessary for security, legal compliance, abuse investigation, or customer-requested support.

8. Acceptable Use

You agree not to:

  • misuse the Services;

  • reverse engineer or attempt to extract models or source code;

  • upload prohibited content;

  • interfere with system security or performance.

9. Intellectual Property

The Services, including software, models, and documentation, are owned by Orin and protected by intellectual property laws. No rights are granted except as expressly stated.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORIN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

11. Limitation of Liability

11.1 Institutional Customers

Orin’s aggregate liability to an Institution is limited to the fees paid in the twelve (12) months preceding the claim.

11.2 Individual Users

Orin’s aggregate liability to an individual User is limited to $1,000 USD.

Orin shall not be liable for indirect, incidental, consequential, or punitive damages.

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

12.2 Arbitration

  • Individual Users agree to binding arbitration of disputes.

  • Institutions may resolve disputes in courts of competent jurisdiction in New York.

13. Data Retention

Orin retains Customer Content and other data for as long as reasonably necessary to provide the Services, fulfill contractual obligations, and comply with applicable legal, regulatory, audit, or accreditation requirements. Upon termination or expiration of an account, Orin will delete or de-identify Customer Content within a reasonable period, unless retention is required or permitted by law.

14. Changes to These Terms

Orin may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
